Terms of Use – Investor

  1. Acceptance of Terms

By accessing or using the SowFin platform (“Service”), you (“Customer”) agree to these Terms of Use (“Terms”). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

  1. Description of Service

SowFin (“Company,” “we,” “our,” or “us”) provides an AI-driven SaaS platform that automates aspects of venture capital and M&A due diligence, including data synthesis, report generation, and deal analysis (“Service”). The Service uses proprietary AI models, our own proprietary software and analysis modules, data integrations, and workflow automation tools to assist customers in streamlining their investment evaluation and documentation processes.

  1. Account Registration and Use

Customers must provide accurate, complete, and current information during registration and maintain the confidentiality of account credentials. Customers are responsible for all activities that occur under their accounts and must promptly notify Company of any unauthorized use.

  1. License and Restrictions

Company grants Customer a limited, non-exclusive, non-transferable license to use the Service during the subscription term, in accordance with these Terms and any applicable order form.
Customer shall not:

  • Copy, modify, or create derivative works of the Service;
  • Reverse engineer, decompile, or attempt to extract source code;
  • Use the Service to build a competing product;
  • Use the Service to process unlawful, infringing, or confidential data without proper authorization; or
  • Interfere with or disrupt the Service’s operation or security.
  1. Customer Data and AI Processing

Customer retains all ownership rights to data, documents, and inputs provided to the Service (“Customer Data”).
Customer grants Company a limited license to host, process, analyze, and use Customer Data solely for:
(a) delivering and improving the Service,
(b) providing AI-generated outputs (e.g., reports, memos, insights), and
(c) maintaining system performance and security.

Company does not guarantee the suitability of AI outputs for legal, investment, or financial decision-making.

  1. Confidentiality

Each party agrees to maintain the confidentiality of any non-public or proprietary information received from the other party (“Confidential Information”) and to use it solely for the purpose of fulfilling obligations under these Terms. This obligation survives termination of the agreement.

  1. Data Security and Privacy

Company implements industry-standard administrative, technical, and physical safeguards to protect Customer Data.
Customer acknowledges that the Service is not designed to process information subject to specific data regulations (e.g., HIPAA, GLBA) unless explicitly agreed in writing.

  1. Fees and Payment

Use of the Service is subject to fees specified in the applicable order form or subscription agreement. Fees are non-refundable except as required by law or otherwise agreed in writing. Late payments may incur interest at the rate specified in the invoice or agreement.

  1. Intellectual Property

Company retains all rights, title, and interest in and to the Service, including software, AI models, documentation, analytics, and enhancements.
Customer retains rights to its Customer Data and any AI-generated reports or outputs created for its internal business purposes.

  1. Service Availability and Support

Company will use commercially reasonable efforts to maintain the availability and reliability of the Service in accordance with its published Service Level Agreement (SLA), if applicable.
Support will be provided as described in the Customer’s subscription plan.

  1. Term and Termination

These Terms remain in effect for the duration of Customer’s subscription. Either party may terminate the agreement for material breach not cured within thirty (30) days after written notice.
Upon termination, Customer access to the Service will cease, and Company will delete or return Customer Data as specified in the applicable agreement or data retention policy.

  1. Disclaimers

The Service, including AI-generated content, is provided “as is” and “as available.”
Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Company does not warrant that AI-generated content will be accurate, complete, or free from errors. Customer is solely responsible for evaluating and verifying AI outputs before using them in investment or transactional decisions.

  1. Limitation of Liability

To the maximum extent permitted by law, Company’s total aggregate liability arising from or related to these Terms shall not exceed the total fees paid by Customer during the twelve (12) months preceding the claim.
In no event shall either party be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or business interruption.

  1. Indemnification

Customer agrees to indemnify and hold harmless Company and its affiliates from any claims, damages, or losses arising out of (a) Customer’s use of the Service in violation of these Terms, or (b) Customer’s violation of applicable laws or third-party rights.

  1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and each party irrevocably consents to the personal jurisdiction and venue of such courts.

Notwithstanding the foregoing, Company may seek injunctive or equitable relief in any court of competent jurisdiction, including those located in California, to protect its intellectual property rights or prevent unauthorized use of the Service.

  1. Modifications

Company may update these Terms from time to time. Material changes will be communicated through the Service or via email. Continued use after such updates constitutes acceptance of the revised Terms.

  1. Entire Agreement

These Terms, together with any applicable order form, SLA, or data processing addendum, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements or understandings.

  1. AI Responsibility and Transparency

(a) Human Oversight – The Service is designed to assist, not replace, professional judgment. Customer remains responsible for reviewing and validating all AI-generated outputs before making investment, legal, or financial decisions.

(b) AI Decision Logging – The Service maintains automated logs of AI-generated analyses, data sources, and reasoning summaries (where applicable) to enable auditability and transparency in deal evaluations.

(c) Bias and Accuracy Disclosure – While Company employs safeguards to minimize bias and improve precision, AI-generated insights may contain limitations inherent to data quality or algorithmic inference. Customers are advised to interpret results accordingly.

(d) Responsible Use – Customers agree not to use the Service to automate or replace regulated financial, legal, or valuation advisory functions unless appropriate human oversight and compliance procedures are in place.

 

 

Terms of Use – Startups

  1. Acceptance of Terms

By accessing or using the SowFin platform (“Service”), you (“Founder,” “you,” or “your”) agree to these Terms of Use (“Terms”). If you are using the Service on behalf of a company, startup, or organization (“Startup”), you represent that you are authorized to bind that entity to these Terms.

  1. Description of Service

SowFin (“Company,” “we,” “our,” or “us”) provides an AI-driven SaaS platform that automates aspects of venture capital and M&A due diligence, including data synthesis, report generation, scoring, and deal analysis (“Service”). The VentureScope module (“VentureScope”) enables startups to submit company materials for automated due diligence, producing AI-generated reports and insights that may be shared with investors in the Company’s network.

  1. Account Registration and Use

Founders must provide accurate, complete, and current information during registration and maintain the confidentiality of account credentials. You are responsible for all activities under your account and must promptly notify Company of any unauthorized access or use.

  1. License and Restrictions

Company grants you a limited, non-exclusive, non-transferable license to use the Service for submitting and reviewing due diligence materials in connection with potential funding opportunities.
You shall not:

  • Copy, modify, or create derivative works of the Service;
  • Reverse engineer or attempt to extract source code;
  • Use the Service to build or train a competing product;
  • Upload unlawful, infringing, or confidential data without proper authorization; or
  • Interfere with or disrupt the Service’s operation or security.
  1. Founder Data, Consent, and AI Processing

(a) Ownership: You retain all ownership rights to data, documents, and materials you submit (“Founder Data”), including pitch decks, financial statements, cap tables, and related files.

(b) License to Process: You grant the Company a limited, non-exclusive license to host, process, analyze, and use Founder Data for the following purposes:

  1. Delivering and improving the Service;
  2. Generating AI-based reports, insights, and due diligence outputs (“VentureScope Reports”); and
  3. Facilitating introductions and sharing relevant materials with investors.

(c) Consent to Share: By submitting materials through VentureScope, you expressly authorize and consent to the Company sharing the following with qualified investors and investment firms in its network:

  • Founder Data submitted through the platform; and
  • AI-generated VentureScope Reports, including risk assessments, deal scores, summaries, and diligence findings.

(d) Investor Access: Company will share such materials only with vetted investors, venture funds, and angel networks for the purpose of evaluating potential investment opportunities in your Startup.

(e) Use of AI Outputs: VentureScope Reports are generated automatically and are provided for informational and diligence support purposes only. They do not constitute financial, legal, or investment advice.

  1. Confidentiality

Each party agrees to maintain the confidentiality of any non-public or proprietary information received from the other (“Confidential Information”) and to use it solely for purposes consistent with these Terms.
By consenting under Section 5(c), you acknowledge that Founder Data and VentureScope Reports shared with investors will no longer be treated as confidential between you and the Company once disclosed to those investors.

  1. Data Security and Privacy

Company implements commercially reasonable administrative, technical, and physical safeguards to protect Founder Data from unauthorized access or misuse.
The Company’s [Privacy Policy] governs how personal and business data is collected, used, and shared.

  1. Fees and Payment

Unless otherwise stated, submission and evaluation via VentureScope may be offered free of charge or under a paid plan as specified on the platform. All payments are non-refundable except as required by law or otherwise agreed in writing.

  1. Intellectual Property

Company retains all rights, title, and interest in and to the Service, including its AI models, algorithms, and analysis templates.
You retain ownership of your Founder Data and any reports generated about your Startup for your own use and recordkeeping.

  1. Service Availability and Support

Company will use commercially reasonable efforts to maintain the availability of the Service. Support will be provided as outlined in the applicable subscription or participation plan.

  1. Term and Termination

These Terms remain in effect while you maintain an active account or have submitted materials through the Service. Either party may terminate these Terms by written notice. Upon termination, your access to the platform will cease, and your data will be handled per our data retention policy.

  1. Disclaimers

The Service and all AI-generated outputs are provided “as is” and “as available.”
Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Company makes no representations or guarantees regarding investor interest, funding outcomes, or the accuracy of AI-generated analyses.

  1. Limitation of Liability

To the fullest extent permitted by law, Company’s total aggregate liability shall not exceed the total fees (if any) paid by you during the twelve (12) months preceding the claim.
In no event shall either party be liable for indirect, incidental, or consequential damages, including loss of business or investment opportunity.

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, or losses arising out of your use of the Service, your submitted materials, or your violation of these Terms.

  1. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflicts of law principles.
All disputes shall be resolved exclusively in the state or federal courts located in Delaware, except that the Company may seek injunctive relief in California or any other competent jurisdiction to protect its rights.

  1. Modifications

Company may modify these Terms at any time. Material changes will be communicated via the platform or email. Continued use constitutes acceptance of the revised Terms.

  1. Entire Agreement

These Terms, together with any applicable agreements or policies referenced herein, constitute the entire agreement between you and the Company with respect to the Service.

  1. AI Responsibility and Transparency

(a) Human Oversight: AI-generated content is for diligence assistance only. Founders and investors should exercise professional judgment before relying on such outputs.
(b) AI Auditability: The Service may log AI decision factors and data references to support transparency and traceability.
(c) Limitations: AI outputs may contain biases or errors due to data or algorithmic limitations.
(d) Responsible Use: The Service is not intended to replace regulated financial, legal, or valuation functions.
