SowFin Terms of Service

1. Acceptance of Terms

By accessing or using the SowFin platform (the “Service”), you (“User,” “Customer,” “Investor,” or “Founder”) agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization (such as an investment firm, venture capital fund, or startup), you represent that you are authorized to bind that entity to these Terms.

2. Description of Service

SowFin, Inc. (“Company,” “we,” “our,” or “us”) provides an AI-driven SaaS platform designed to facilitate aspects of venture capital and M&A due diligence.

• For Investors: The Service provides automated data synthesis (the processing of multiple disparate data points and documents into a unified view), AI-powered report generation, and DealScore™ analysis.
• For Founders: The Service enables startups to submit materials for automated due diligence, risk assessment, and potential introductions to investors.

3. Cloud Storage Integrations & Google API Disclosure

SowFin provides optional integrations with third-party cloud storage services, including Google Drive and Microsoft OneDrive, to facilitate document analysis.

• Limited Use Compliance: Notwithstanding any other provision of these Terms, SowFin’s use and transfer of information received from Google APIs to any other app will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
• Scope of Access: We utilize the drive.file scope to access only the specific documents you explicitly choose to open via the Google Picker.
• OneDrive Usage: Documents retrieved from OneDrive are used strictly for generating financial insights and are subject to the same strict data protections applied to all other User Data.

4. User Data and AI Processing

You retain all ownership rights to the data, documents, and materials you submit to the Service (“User Data”).

• License to Process: You grant SowFin a limited license to host, process, and analyze User Data solely for delivering the Service’s features.
• No AI Training: SowFin does not use User Data to train, improve, or fine-tune generalized AI models.
• Investor Matching: Founder data is shared with investors only if the Founder explicitly enables the “Investor Matching” feature within the platform UI.

5. Account Registration and Restrictions

Users must provide accurate information during registration and maintain the confidentiality of their credentials. Users shall not:

• Reverse engineer, decompile, or attempt to extract the Service’s source code.
• Use the Service to build a competing product.
• Upload unlawful, infringing, or unauthorized confidential data.

6. Fees and Payment

Use of certain features is subject to fees specified in your subscription plan. All fees are non-refundable except as required by law.

7. Termination of Account and Subscription

• Subscription Cancellation: Canceling a paid subscription stops future billing. Data for these accounts is subject to a 30-day grace period before permanent deletion to allow for data recovery.
• Account Deletion: You may permanently delete your account and all associated data at any time via the Profile menu under the Plan
• Effect of Deletion: Deleting an account results in the immediate and irreversible removal of all User Data, including all files imported from Google Drive or OneDrive.

8. Disclaimers and Limitation of Liability

The Service and AI-generated outputs are provided “as is”.

• No Professional Advice: SowFin reports are for informational purposes only and do not constitute financial, legal, or investment advice.
• Liability Cap: To the maximum extent permitted by law, SowFin’s total liability shall not exceed the fees paid by the User during the twelve months preceding a claim.

9. Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.
